1. INTRODUCTION

Welcome to Spinroom AI ("Service," "we," "us," or "our"), an AI-powered communications platform provided by S.C. Softaria lui Serdin SRL, a company established in Bucharest, Romania, and operating under European Union law.

These Terms of Service ("Terms") govern your access to and use of our platform, including any associated websites, content, applications, services, or products (collectively the "Service"). By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy.

5. AI-GENERATED CONTENT DISCLAIMER

5.1 No Liability for AI-Generated Content

Spinroom AI IS NOT LIABLE FOR ANY AI-GENERATED CONTENT CREATED THROUGH OUR SERVICE. While we strive to provide high-quality AI-generated content, we make no representations or warranties regarding its accuracy, reliability, legality, or appropriateness for your specific needs.

5.2 Content Review Responsibility

You are solely responsible for reviewing, editing, and approving any AI-generated content before using it for any purpose. You acknowledge that:

  • AI-generated content may contain errors, inaccuracies, or inappropriate material
  • AI systems may unintentionally replicate biases or patterns found in training data
  • Content may require significant editing before it is suitable for your intended use

7. INTELLECTUAL PROPERTY

7.1 Service Ownership

The Service, including all software, designs, text, graphics, logos, and other content provided by us (excluding User Content and third-party content), is owned by Spinroom AI and is protected by copyright, trademark, and other intellectual property laws.

7.2 License to Use the Service

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes.

7.3 User Content

You retain ownership of your User Content. By uploading or sharing User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, and display such content solely for the purpose of providing and improving the Service.

7.4 AI-Generated Content Ownership

You retain ownership rights to the specific outputs of AI-generated content created for you through the Service, subject to third-party rights that may exist in the underlying technology or training data. However, we retain ownership of all AI models, algorithms, and systems used to generate such content.

9. THIRD-PARTY SERVICES AND CONTENT

10.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SPINROOM AI, ITS AFFILIATES, AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE USE OF OR INABILITY TO USE THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE IS LIMITED TO THE AMOUNT YOU HAVE PAID TO NEWSROOM AI FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR ONE HUNDRED EUROS (€100), WHICHEVER IS GREATER.

11. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Spinroom AI, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or in any way connected with:

  • Your access to or use of the Service
  • Your User Content
  • Your use of AI-generated content
  • Your violation of these Terms
  • Your violation of any rights of another person or entity

12. TERM AND TERMINATION

12.1 Term

These Terms will remain in effect until terminated by either you or Spinroom AI.

12.2 Termination by You

You may terminate these Terms at any time by discontinuing your use of the Service and closing your account.

12.3 Termination by Us

We may terminate or suspend your access to the Service, without prior notice or liability, for any reason, including if you breach these Terms.

12.4 Effect of Termination

Upon termination:

  • Your right to access and use the Service will immediately cease
  • Any provision of these Terms that by its nature should survive termination shall survive termination

13. CHANGES TO TERMS OR SERVICE

13.1 Changes to Terms

We may modify these Terms from time to time. If we make material changes, we will provide notice through the Service or by other means. Your continued use of the Service after the changes take effect constitutes your acceptance of the modified Terms.

13.2 Changes to the Service

We reserve the right to modify, suspend, or discontinue the Service, or any part of it, at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

14. GOVERNING LAW AND DISPUTE RESOLUTION

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of Romania, without regard to its conflict of law provisions, and in accordance with applicable European Union law.

14.2 Dispute Resolution

Any dispute arising out of or in connection with these Terms or the Service shall be submitted to the exclusive jurisdiction of the courts of Bucharest, Romania.

14.3 Consumer Rights

If you are a consumer residing in the European Union, you may also have the right to:

  • Bring proceedings in the courts of your country of residence
  • Benefit from mandatory consumer protection laws of your country of residence
  • Use the European Commission's Online Dispute Resolution platform at http://ec.europa.eu/consumers/odr

15. GENERAL PROVISIONS

15.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Spinroom AI regarding the Service and supersede all prior agreements and understandings.

15.2 Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck, and the remaining provisions shall be enforced.

15.3 No Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision.

15.4 Assignment

You may not assign or transfer these Terms or any rights or obligations under these Terms without our prior written consent. We may assign these Terms, in whole or in part, at any time without notice.

15.5 Force Majeure

We will not be liable for any failure or delay in performing our obligations where such failure or delay results from any cause beyond our reasonable control, including acts of God, natural disasters, terrorism, riots, war, labor disputes, or the failure of electric power, telecommunications, or computer systems.
